1. Acceptance of Terms
By accessing and using the services provided by anYCode ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
anYCode provides digital development services including:
- Mobile application development for iOS and Android platforms
- Website design and development
- Web extension development
- Related consulting and support services
3. Service Agreement
3.1 Project Scope
Each project will be defined by a separate agreement or statement of work that outlines specific deliverables, timelines, and costs.
3.2 Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- Payment schedules are established based on project milestones
- Invoices are due within 30 days of receipt
- Late payments may incur additional fees
- Work may be suspended for overdue accounts
3.3 Client Responsibilities
Clients are responsible for:
- Providing necessary materials, information, and access
- Timely feedback and approvals
- Compliance with applicable laws and regulations
- Maintaining backup copies of their data
4. Intellectual Property
4.1 Client Content
Clients retain ownership of their pre-existing intellectual property, content, and data provided to AnyCode.
4.2 Developed Work
Upon full payment, clients receive ownership of custom-developed applications and websites, excluding:
- Third-party software and libraries
- anYCode's proprietary tools and methodologies
- General programming techniques and know-how
5. Confidentiality
anYCode agrees to maintain confidentiality of client information and trade secrets. This obligation continues even after project completion or termination of services.
6. Warranties and Disclaimers
6.1 Service Warranty
We warrant that our services will be performed with professional skill and in accordance with industry standards.
6.2 Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability or fitness for a particular purpose.
7. Limitation of Liability
anYCode's liability for any claim relating to our services shall not exceed the amount paid by the client for the specific service giving rise to the claim. We shall not be liable for indirect, incidental, special, or consequential damages.
8. Support and Maintenance
Post-launch support and maintenance services are available under separate agreements. Basic support may be included for a specified period as outlined in individual project agreements.
9. Termination
Either party may terminate services with written notice. Upon termination:
- Client shall pay for all services performed up to termination date
- AnyCode will deliver completed work product
- Both parties' confidentiality obligations continue
10. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or internet service disruptions.
11. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
12. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where anYCode is headquartered, without regard to conflict of law principles.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with any applicable project agreements and our Privacy Policy, constitute the entire agreement between anYCode and the client.
